As part of our readiness advisory services we always start with obtaining an understanding of the Equity Story of the founders/business owner. This is always an important first step to convince would be investors on why they should invest in the company hence this is also an area we spend significant amount of time to understand and speak to founders/business owners. While many founder/business owners that we speak to have a strong and captivating story the story will need to be backed up by practical measures on how the founder/business owners are on track to realising their story. Based on our observations we note that a good equity story to attract investors typically have the following elements : --> What is our unique selling point and what sets us apart from our competitors? --> How are we going to look to balance the need to grow and scale vs the route to profitability? --> How do we intend to create value both at the present and in future? --> What are the emerging threats and trends facing the business and are we ready for them? However, one area that we see that some founders/business owners may overlook is: “What are the measures used to track that we are achieving what we set out as part of our equity story and are these reliable basis for measurement?” Equally important: “Does our financials/forecast paint the same consistent picture and message”. At the end of the day the company will need to convince the investor to take the plunge to invest in the company and having a solid equity story which can be backed up by consistent messaging in terms of the financial and the forecast will give the company a lot more credibility and confidence during the investor pitch and at Deloitte we can assist to provide an independent viewpoint prior to your investor pitch so you can be better prepared for the entire experience. Private equity and technology companies have had a long love affair and it looks like the romance will continue with a number of mature technology companies in discussions with private equity groups. PageUp has reportedly received an NBIO from EQT Group for what may be a billion dollar transaction. Vista Equity Partners is reportedly chasing CriticalArc for what may be a mid $50m transaction. Potentia Capital is reportedly looking at divesting its interest in Newbook and I would imagine that they are still exploring options regarding their interest in Micromine Hudson is shopping their texhnology platform UPPER Group. Thoma Bravo is considering a tilt at Iress. In my view this signals a couple of things. 1. Mature technology businesses are still considered great investment opportunities for private equity. The operational levers, scale and efficiency make them attractive assets. 2. IPO markets will benefit from this activity in the medium (3-5 year) term. Technology remains a central thematic for many investment managers and will continue to however it appears that scale is now more important than ever.
