When navigating private real estate investments, you're going to need to understand equity waterfalls. Let's expand on some of the various clauses and provisions you may run into. 𝗘𝗾𝘂𝗶𝘁𝘆 𝗪𝗮𝘁𝗲𝗿𝗳𝗮𝗹𝗹𝘀: Essentially, they dictate the distribution of profits between LPs (Limited Partners - potentially you) and GPs (General Partners - entities like Freedom Venture Investments). 𝗧𝘄𝗼 𝗣𝗿𝗲𝗱𝗼𝗺𝗶𝗻𝗮𝗻𝘁 𝗠𝗼𝗱𝗲𝗹𝘀: 𝘌𝘶𝘳𝘰𝘱𝘦𝘢𝘯 𝘔𝘰𝘥𝘦𝘭: LPs receive their complete return of capital before any profit sharing commences. 𝘈𝘮𝘦𝘳𝘪𝘤𝘢𝘯 𝘔𝘰𝘥𝘦𝘭: Profit distribution begins prior to the full return of capital. 𝗖𝗿𝘂𝗻𝗰𝗵𝗶𝗻𝗴 𝗡𝘂𝗺𝗯𝗲𝗿𝘀: For instance, with an 8% preferred return, this percentage is first allocated to the investor. Subsequently, there might be an 80/20 split, where the majority portion (80%) is directed to the investor. 𝗔𝗱𝗱𝗶𝘁𝗶𝗼𝗻𝗮𝗹 𝗣𝗿𝗼𝘃𝗶𝘀𝗶𝗼𝗻𝘀: 𝘊𝘭𝘢𝘸𝘣𝘢𝘤𝘬 𝘗𝘳𝘰𝘷𝘪𝘴𝘪𝘰𝘯: Serving as a safeguard for LPs, it entitles investors to get paid back any incentive fees taken by the manager during the life of the investment. 𝘊𝘢𝘵𝘤𝘩-𝘜𝘱 𝘊𝘭𝘢𝘶𝘴𝘦: Post the preferred returns for LPs, GPs are entitled to an accelerated return to align the returns across the partnership. 𝗢𝘂𝗿 𝗣𝗵𝗶𝗹𝗼𝘀𝗼𝗽𝗵𝘆: We prioritize clarity and transparency. While simplicity remains a cornerstone, it's crucial to recognize that every project and corresponding PPM is unique. Different provisions exist for valid reasons, and it's essential to discern the rationale behind each clause in a particular project.
