Deputy General Counsel, Commercial and Business Operations (Remote, United States) (865-SLS)

Our client, a thriving, specialized cloud provider and AI-hyperscaler has retained Solutus Legal Search to assist its executives in hiring a seasoned commercial attorney to serve as the company’s Deputy General Counsel, Commercial (DGCC). This position will be responsible for building and managing a global commercial legal team.

The successful candidate may work from anywhere within the United States and must be willing and eager to travel regularly and as needed to company headquarters in New Jersey and offices in New York, San Francisco (opening July 2024), and future offices. The successful candidate also will be expected to accommodate their internal clients’ working hours for meetings or calls, which may largely be on east coast hours.

The DGCC will report to the General Counsel and oversee a team of paralegals and lawyers to provide legal support for all U.S. and global commercial transactions. The ideal candidate will have a minimum of 15 years of experience with drafting and negotiating a wide variety of customer and vendor contracts, among other commercial skills.

Our client hires strong lawyers who enjoy collaborating with their peers. Though the lawyers have expertise in an area, they are not siloed and will jump in to support other areas of the business. This results in natural cross-functional training, as well as a collaboration driven work environment.

Responsibilities

  • Building, training, and mentoring a commercial legal team, and recommending and managing the use of vendors and consultants as appropriate
  • Collaborating with go-to-market, product, and business operations teams to support continued company growth and scaling of operations
  • Negotiating, drafting, managing, advising, and acting as the escalation point on a wide variety of commercial transactions including:
  • Buy-side agreements, including procurement agreements and agreements related to supply chain management, capacity planning, infrastructure, and equipment used in the development and ongoing operation of data centers
  • Sell-side agreements, including MSAs, order forms/SOWs, terms of service, and related agreements for customer use of computing capacity on the cloud platform
  • Working with business and legal colleagues to streamline contracting by creating, implementing, and ensuring adherence to standard processes and procedures
  • Working with business and legal colleagues outside the U.S. on international contracts.
  • Recommending, retaining, and supervising outside counsel as needed for legal services
  • Maintaining familiarity with applicable regulatory, compliance and business rules and regulations for contracting operations
  • Prioritizing tasks to get deals done, including leading contract negotiations and discussions
  • Managing the legal function related to risk management and insurance for the commercial organization including personal property insurance, general liability, E&O, cyber, etc



Ideal Candidate Profile:


  • JD and licensed or eligible to practice law in your state of residence
  • 15+ years of experience that includes in-house experience leading buy side technology (procurement, supply chain) commercial transactions and sell side agreements for cloud services including Platform as a Service (“PaaS”) and/or Infrastructure as a Service (“IaaS”)
  • Record of building, managing, and mentoring a team of in-house lawyers and paralegals and managing external support
  • Experience with providing strategic advice and implementing streamlining processes
  • Comfortable working in a fast-paced and rapidly scaling environment
  • Responsive, pro-active, business-minded, team-oriented, and pragmatic
  • Superior leadership, negotiating, decision-making, and problem-solving skills
  • Excellent oral and written communication skills



Compensation for this position consists of a base salary range from $290,000 - $340,000, 30% bonus target and a generous equity grant. The total compensation package will depend on the candidate’s level of seniority, number of years of directly relevant experience and geographic location.
